Paraguay · Company formation

Form a company in Paraguay — remotely, in days.

Most founders now use the EAS: one shareholder is enough, there is no minimum capital, and it is constituted online. We handle the deed, the tax number and the first bank conversation, so the company can trade from day one, fully set up.

Free first call. Fixed quote within one business day.

Which entity fits

Three vehicles. For most founders, one obvious answer.

The EAS was built to do exactly what international founders need: a single owner, no capital floor, and an online deed. The S.R.L. and S.A. still earn their place when ownership is shared or you expect outside investors.

The legal basis, briefly

Expert-grade, without the footnote avalanche.

Paraguay runs a closed catalogue of company types under the 1985 Civil Code, modernised by the EAS. The practical consequences for a foreign founder are three:

  • ✓

    One owner is enough

The EAS can be formed by a single shareholder, local or foreign — the S.A. and S.R.L. still need two.

  • ✓

    No capital floor

The EAS sets no statutory minimum capital; you size it to the business.

  • ✓

    Territorial tax

Corporate income tax (IRE) and VAT (IVA) register with DNIT; Paraguay taxes on a territorial basis.

  • ✓

    Nominative shares

Bearer shares are gone; ownership is transparent and on the register.

Law and practice: Company types: Civil Code (Ley Nº 1183/1985); EAS under Ley Nº 6480/2020 and Decreto Nº 3998/2020, formed online via SUACE (Ley Nº 4986/2013). Tax: corporate income tax and VAT under Ley Nº 6380/2019, administered by DNIT, on Paraguay’s territorial principle. This is general information, not advice, and is confirmed for your case in the brief. Rules as of October 2026.

Questions

Straight answers before you commit.

Can a foreigner own 100% of a Paraguay company?

Yes. A non-resident can hold the entire company, and an EAS can be formed by a single foreign shareholder. You sign remotely by power of attorney.

How fast can the company be ready?

An EAS is typically constituted in 3–8 business days once documents are in order; an S.R.L. or S.A. takes longer because of the notarial deed. Bank onboarding is separate and depends on the profile.

Do I need to travel to Paraguay?

No. The constitution can be done remotely under power of attorney. Some banks may later ask for a visit or a video call — we tell you up front which do.

Is there a minimum capital?

Not for the EAS. The S.A. and S.R.L. set capital by agreement among the partners. We right-size it with you rather than inflating it for appearances.

What taxes will the company face?

Corporate income tax and VAT, registered with DNIT. Paraguay applies a territorial principle, so genuinely foreign-source income is treated differently from local income — we map this to your case in the brief.

Can you also open the bank account and keep the books?

Yes. We prepare the bank onboarding file and introduce you, and we can run monthly accounting and filings so the company stays compliant from day one.
